The Electric Vehicle Giant Investors to Vote on Mammoth $1 Trillion Pay Plan for Chief Executive Elon Musk

Tesla shareholders assembled on Thursday to vote on a massive remuneration plan for CEO Elon Musk valued at nearly $1 trillion. Should it pass, this plan would demonstrate market faith that the tech magnate can lead the vehicle manufacturer into an age defined by machine learning and advanced machinery. Should it fail, Tesla could potentially face the loss of a key figure who previously established the brand interchangeable with zero-emission cars.

Record-Breaking Milestones and Market Capitalization

Should Musk achieve the formidable objectives detailed in the compensation plan revealed at Tesla's shareholder gathering, he could emerge as the world's first trillionaire. For this to happen, he must guide Tesla to a staggering $8.5 trillion in company worth, which is eight times its present worth. Additionally, he will be obligated to deploy numerous driverless automobiles and bipedal machines, while upholding the financial performance in the hundreds of billions of dollars in the upcoming decade.

Compensation Structure

The main goals of the compensation plan, organized into a dozen phases, delineate a path for Tesla to reach its massive market capitalization. Upon achievement, Musk would be in a position to benefit from an additional 12% of the firm's equity. To qualify, he must remain vested with the company for no less than 7.5 years. He will also assist in creating a corporate transition roadmap for the organization he has managed for in excess of 20 years. The share grants provided by the latest pay package, combined with shares guaranteed in his previous compensation plan, would result in Musk with a quarter stake of Tesla's shares. As of early November, Tesla stock was trading near its yearly maximum, at approximately $450 each share.

Lofty Goals

Over the course of a ten-year period, Musk will be tasked to deliver 20 million zero-emission cars to customers, market 10 million live FSD memberships, produce and launch 1 million bipedal machines, and deploy 1 million autonomous taxis in commercial service.

Musk will furthermore be tasked to elevate the firm to $400 billion in actual earnings for four consecutive quarters. Tesla's actual earnings for the third quarter of 2025 were $4.2 billion, a 9% decrease from the year before.

In November, Musk's net worth was valued at $460 billion, the leading in the planet, as reported by wealth indexes.

Reinstating a Rescinded Deal

Shareholders are furthermore evaluating a proposal that would remunerate Musk after his 2018 compensation plan was voided by a judicial body in Delaware. The remuneration deal, worth an estimated $56 billion, was challenged by a single stockholder who prevailed in court. The Delaware court of chancery dismissed Musk's remuneration deal twice. Upon stockholder approval the plan in the shareholder meeting, Musk is set to be paid the massive amount regardless of if Tesla and Musk win an appeal of the legal matter.

Subsequent to Musk's earlier remuneration deal was first rescinded, he moved Tesla's business registration from Delaware to Texas. He repeated the action with his aerospace company and other companies' headquarters. In 2024, under Texas law, shareholders for a second time approved the remuneration deal.

But Delaware's so-called "equity court" again rejected one of the largest CEO compensation packages in recent times. Following that unfavorable ruling, Musk took to social media to show frustration with the state and its "influential presiding justice", possibly igniting a wave of business departures that Delaware lawmakers have attempted to staunch with legislation.

In considering whether Musk had excessive control in being given that earlier remuneration deal, a respected academic expert commented that the judge recognized that other "high-profile executives" like the Meta chief and the e-commerce pioneer were not granted this sort of performance-linked deals.
